Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SuccessionStack platform ("Service"), operated by The Productive ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account and Eligibility

You must be at least 18 years old and authorized to enter into binding contracts on behalf of your organization. You are responsible for safeguarding your credentials and for all activity occurring under your account.

2. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

3. Customer Data

You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service, in accordance with our Privacy Policy and Data Use & Subprocessors document.

4. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. Prohibited conduct includes attempting to disrupt or compromise the Service, reverse-engineering the platform, or using the Service to violate applicable law.

5. Fees and Payment

Fees are set out in your order form or services agreement. All fees are payable in advance and non-refundable except as expressly stated. Late payments accrue interest at the lesser of 1.5% per month or the maximum allowable by law.

6. Term and Termination

Your subscription continues for the term set forth in your order form. Either party may terminate for material breach uncured 30 days after written notice. On termination, your access to the Service ends and Customer Data is deleted in accordance with our retention schedule.

7. Warranties and Disclaimer

We will provide the Service with commercially reasonable care and skill. To the fullest extent permitted by law, the Service is otherwise provided "as is" without warranties of any kind, express or implied.

8. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. Each party's aggregate liability is limited to the fees paid by you in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law provisions. Disputes will be resolved exclusively in the courts of Ottawa, Ontario.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to you in writing at least 30 days in advance. Continued use of the Service after the effective date of any update constitutes acceptance.
